Graphic Packaging Faces Class Action Over Alleged Misleading Financials

Investors have launched a class action lawsuit against Graphic Packaging Holding Company and several former executives, alleging the firm misled shareholders regarding its financial health and operational stability. The litigation, filed in the Southern District of New York, targets the period between February 2025 and February 2026.

The complaint alleges that Graphic Packaging executives repeatedly touted the company's resilience while failing to disclose critical inventory management issues and declining demand. Despite acknowledging industry headwinds, leadership maintained aggressive financial guidance throughout early 2025, which the suit claims was both unrealistic and materially misleading.

The facade began to crack in May 2025, when the company reported a revenue decline and significantly slashed its full-year outlook, triggering a 15.5% drop in stock price. By December 2025, further downward revisions to EBITDA and earnings per share coincided with the abrupt departure of then-CEO Michael P. Doss. The downward trajectory continued into February 2026, when the company reported missing quarterly estimates and revealed a comprehensive organizational review initiated by new CEO Robbert Rietbroek. Investors who purchased securities during the class period have until July 6, 2026, to petition the court for lead plaintiff status.
