The transaction includes £82.5 million in cash, supplemented by approximately 49.6 million newly issued Ballard shares. A further 1.08 million shares will be settled in one year, with up to £27.5 million in contingent consideration tied to specific financial milestones. Following the acquisition, former GeoPura shareholders now hold roughly 14.1% of Ballard’s outstanding common shares.
GeoPura, founded in 2019, specializes in Hydrogen Power Units (HPUs) that utilize Ballard fuel cell modules to provide off-grid electricity. Beyond hardware, the firm maintains the UK’s largest compressed hydrogen distribution fleet. This infrastructure allows Ballard to offer a turnkey model, moving beyond mere component manufacturing to end-to-end energy delivery.
