Reckitt Closes Tender Offer for Mead Johnson Nutrition Notes

Investors have tendered over $400 million in senior notes issued by Mead Johnson Nutrition, a subsidiary of Reckitt, as the company moves to strip restrictive covenants from its debt agreements. The tender offer, which expired August 13, clears the way for a significant restructuring of the firm's 2044 obligations.

Reckitt Closes Tender Offer for Mead Johnson Nutrition Notes

The company confirmed that $400,415,000 in aggregate principal amount of its 4.600% Senior Notes due 2044 were validly tendered before the 5:00 p.m. deadline. Holders who participated in the offer will receive a total consideration of $898.00 per $1,000 of principal, plus accrued interest, with settlement expected on August 18, 2026. Following this transaction, approximately $99,585,000 in notes will remain outstanding.

Beyond the cash purchase, the company secured the necessary consents to amend the indenture governing the notes. These changes remove most restrictive covenants and release Reckitt’s guarantee on the remaining debt. The supplemental indenture is scheduled to become operative on the settlement date, binding all remaining holders to the new terms.
