Glass Lewis & Co. has advised LivePerson stockholders to vote in favor of the company’s proposed acquisition by SoundHound AI. The recommendation from the influential proxy advisory firm marks a pivotal development ahead of the upcoming August 20, 2026, special meeting, providing a significant boost to the board's consolidation strategy.

Beyond the immediate valuation, the merger aims to resolve LivePerson’s debt load, which currently exceeds the transaction’s total value. By integrating into SoundHound AI, shareholders gain equity in a combined entity with a stated goal of reaching up to $500 million in annual revenue. The resulting company would command a footprint spanning 25 Fortune 100 firms, leveraging unified capabilities in voice, digital engagement, and agentic AI. With the August 20 deadline approaching, the company is intensifying its push for shareholder participation, noting that failure to vote will be counted as a vote against the merger.
