Getty Images Moves to Private Ownership Following Restructuring Deal

After a failed $3.7 billion merger with Shutterstock, Getty Images is initiating a prepackaged Chapter 11 bankruptcy process. The company secured $533 million from the Getty family and Koch Equity Development to address its mounting debt, aiming to complete the transition to private ownership by the end of this year.

The financial rescue comes as the platform grapples with over $1.3 billion in debt reported as of June 30th. Bloomberg previously revealed that the company entered a 30-day operational grace period earlier this autumn after missing interest payments on unsecured notes. Under the new agreement, the company will be fully controlled by Getty family affiliates and Charles Koch’s investment arm.

This collapse follows a failed deal with Shutterstock, which was blocked by UK regulators despite receiving unconditional antitrust clearance from the US Department of Justice in February. Both companies are currently struggling to maintain relevance against generative AI services that allow users to create custom images rather than licensing stock content. While Getty has launched its own AI generator, the firm has yet to articulate a clear strategy for long-term growth in an increasingly crowded market. Co-founder Mark Getty maintains that the brand remains a trusted leader in premium visual content, even as it prepares for this significant corporate overhaul.
