Holding a 3.8% stake in the firm, the investment group argues that the bid ignores the company's true market potential and the synergies inherent in the deal.

Petrus Advisers detailed its opposition in a formal communication released Tuesday, highlighting three primary flaws in the current proposal. Beyond a significant undervaluation relative to industry peers, the group claims the offer excludes shareholders from the substantial synergy value Tata Motors has already touted to its own investors. Furthermore, the firm contends that the bid lacks compensation for the projected 15-month timeline between the initial transaction announcement and the expected closing date.

"Our ask is a simple one: fair value for all of Iveco's shareholders," the firm stated. Based in London and regulated by the FCA, Petrus Advisers maintains an active investment strategy, often working directly with boards and management teams to influence corporate direction. The group, which also operates a legal strategy arm for complex litigation, is now pushing for a revised valuation that reflects the company’s standing in the European market.
