Al Shams Investments Challenges Braemar Hotels Board

Conflict has erupted at Braemar Hotels & Resorts as its largest shareholder, Al Shams Investments, moved to replace the company’s board. The Bermuda-based firm submitted a formal nomination for five independent directors to be elected at the upcoming November 13 shareholder meeting, citing years of significant financial decline.

Al Shams Investments, which holds a substantial stake in the real estate company, claims Braemar’s stock price has plummeted more than 90% since its 2013 separation from Ashford Hospitality Trust. In a sharp critique of current oversight, the investor group argued that shareholders have suffered under sustained underperformance while the company continued to pay hefty fees to external advisors. To address this, Al Shams has proposed a slate of candidates with deep backgrounds in finance, real estate, and corporate governance to overhaul the board’s current direction.

The proposed nominees include real estate finance veteran Jennifer L. Bitterman, investor Jonathan Klein, and institutional research expert Anna Massion. The list also features Sir Michael Peat, a former Treasurer to Queen Elizabeth, and attorney Wayne R. Walker. Al Shams maintains that this group possesses the necessary technical expertise to restore accountability and improve long-term value for stockholders. The investor group has filed preliminary documents with the SEC and intends to solicit proxies ahead of the 2026 Annual Meeting, setting the stage for a high-stakes vote on the future of the company's leadership.
