The dividend applies to all holders of record as of September 15, 2026, including owners of Class A Common Stock, various series of Preferred Stock, and a convertible note. While the company has received approval from the NYSE American for the distribution, it has not yet secured a listing for the Class B shares on the exchange. Investors will receive approximately 0.04066734 shares of Class B stock for every share of eligible capital stock held, though this ratio remains subject to change should the company issue additional shares prior to the record date.
Hyperscale Data Announces Special Dividend of Class B Voting Shares
Hyperscale Data, Inc. plans to issue a special one-time dividend of 20 million shares of its Class B Common Stock to current investors. This distribution, scheduled for October 6, 2026, grants recipients shares with ten times the voting power of standard Class A Common Stock, though no public trading market currently exists.

These new shares are functionally identical to existing Class A shares, except for their enhanced voting rights. Shareholders who would otherwise receive fractional shares will instead be compensated with a cash payment. The company cautions that it may seek a public listing for the Class B stock in the future, but offers no guarantee regarding the timing or success of such an effort. Hyperscale Data, based in Las Vegas, currently operates through its subsidiary Sentinum, focusing on AI-driven data center services, and maintains separate operations under Ault Capital Group, which is slated for a planned divestiture in 2027.
