Shares of Fervo Energy plunged 16% on August 12 after management revealed that transmission curtailments at its flagship Cape Station project would significantly hinder future revenue. The sudden disclosure, which pushed the stock to $20.16—well below its $27 May IPO price—has triggered a formal investigation into the company’s transparency.

The national shareholder rights firm Hagens Berman is now scrutinizing whether Fervo adequately disclosed risks associated with third-party transmission infrastructure during its initial public offering. While IPO documents characterized potential grid inefficiencies as a general risk, the company’s recent Q2 earnings call suggested that management had been tracking the specific transmission issues at the Cape site for some time. This discrepancy between the warning language in official filings and the company's internal awareness remains the central focus of the probe.

Reed Kathrein, the Hagens Berman partner leading the investigation, stated the firm is examining whether Fervo was aware of the planned curtailment during the IPO process and if management failed to disclose material information to investors. With 2027 revenue guidance now slashed to a range of $60 million to $80 million, the legal team is inviting investors who suffered substantial losses to come forward as they evaluate potential violations of federal securities laws.
