The litigation follows a sharp 35% drop in share price triggered by substantial losses linked to failed hedging strategies.

The lawsuit, filed in the U.S. District Court for the Eastern District of Michigan under the caption Bond v. UWM Holdings Corporation, alleges that company executives violated the Securities Exchange Act of 1934. According to the complaint, UWM deviated from its standard practice by taking a significant hedge position related to a proposed $1.3 billion merger with Two Harbors Investment Corp. When the deal collapsed in March 2026, the company was left with an excess hedging risk that ultimately proved costly.

Financial disclosures released on August 5, 2026, revealed a $603.2 million loss in interest rate derivatives, contributing to a total quarterly net loss of $451.9 million. Chief Executive Officer Mathew Ishbia acknowledged during an earnings call that the firm had been over-hedged in anticipation of the acquisition. The resulting market correction saw UWM shares plummet, prompting the current legal action spearheaded by the law firm Robbins Geller Rudman & Dowd LLP.
