The transition brings significant changes to the company's governance structure. Tianjing Zhang, a legal veteran with nearly two decades of experience in cross-border disputes and regulatory investigations, joins the board on August 29. Her background includes a long tenure at Kirkland & Ellis International LLP, where she led the firm's China-focused dispute resolution practice. She currently serves as the head of international business for HOZU Capital.
Simultaneously, the board has re-designated David Zhang as an independent director under Hong Kong Listing Rules. The decision follows a comprehensive review by the Corporate Governance and Nominating Committee, which confirmed that the two-year cooling-off period required by regulatory standards has been satisfied. David Zhang, who has served on the board since June 2024, is expected to bolster the company's oversight regarding cross-border securities offerings and capital markets.
