The complaint alleges the mortgage lender misled investors regarding its hedging strategies and the specific financial risks linked to a failed $1.3 billion merger with Two Harbors Investment Corp.

The litigation, filed in the U.S. District Court for the Eastern District of Michigan under the caption Bond v. UWM Holdings Corporation et al., claims the company deviated from its standard policy of not hedging mortgage servicing rights. According to the suit, UWM initiated a significant hedge position to protect against the Two Harbors transaction, only to suffer massive losses when the deal collapsed following a competing offer from CrossCountry Mortgage.

Financial fallout became apparent when UWM reported a $603.2 million loss on interest rate derivatives for the second quarter of 2026. This contributed to a broader $451.9 million quarterly net loss and a 43.6% year-over-year decline in total equity. Following the disclosure that the company had over-hedged in anticipation of the aborted merger, share prices dropped from $1.84 to $1.20 in a single day. Investors seeking to participate in the class action have until October 13, 2026, to apply for lead plaintiff status.
