With over 97% of votes cast so far favoring the SoundHound AI transaction, the company warns that remaining silent effectively counts as a vote against.

Should the merger fail, LivePerson would remain a standalone entity facing significant business risks, which the board suggests could lead to future restructuring or a total loss of value for stockholders. Shareholders who have already cast their proxies do not need to take further action. Those still needing to vote can participate via proxy card, telephone, or online through the company’s dedicated portal, with additional instructions provided for those holding shares through the Tel Aviv Stock Exchange.
