HSBC Finalizes Multi-Billion Dollar Debt Buyback

HSBC Holdings plc has concluded its four-part tender offer to repurchase outstanding senior unsecured notes, successfully acquiring securities worth nearly $4.9 billion. The banking giant increased its maximum tender capacity to $6.75 billion earlier this month, ultimately retiring debt across four series maturing in 2028.

The buyback program, which expired on August 12, saw varying levels of investor interest across the targeted note series. While the bank accepted the full amount tendered for the September 2028, November 2028, and March 2028 notes, the May 2028 series triggered proration. Because investor demand for the May 2028 notes exceeded the established $1 billion sub-cap, HSBC applied a proration factor of approximately 66.97% to those specific holdings.

Following the settlement on August 17, all repurchased notes will be cancelled and retired, effectively removing them from the company's outstanding obligations. This move follows the bank's successful pricing of new debt issuances earlier in August, which satisfied the conditions necessary to proceed with the tender. HSBC Bank plc served as the dealer manager for the transaction, with Global Bondholder Services Corporation acting as the information agent.
