Elliott Investment Management, holding a 5.6% stake in Northern Star Resources, has publicly demanded a significant board restructuring to address years of governance failures. The activist investor unveiled a slate of six independent candidates, citing the company's persistent underperformance despite record gold prices and high-quality assets.

The firm’s push follows failed private negotiations with Northern Star’s leadership regarding board composition. Elliott argues that despite owning world-class mining assets, the company has lagged behind its peers due to executive and operational shortcomings. By introducing candidates with deep industry expertise—including former CEOs of Anglo American, Arcadium Lithium, and Barrick—Elliott aims to support the incoming Chief Executive and oversee a comprehensive strategic review.

Elliott emphasized that it does not seek control of the board or the appointment of its own employees. Instead, the firm is calling for a collaborative process to refresh the board’s technical and financial oversight capabilities. The proposed nominees, which include Susan Corlett, Mark Cutifani, Paul Graves, Mick McMullen, Peter Rozenauers, and Graham Shuttleworth, possess extensive experience in global mining operations and ASX-listed governance. While Northern Star previously expressed a willingness to engage on board enhancement, the current public escalation highlights a growing divide between the investor and the incumbent directors over the pace and scale of necessary changes.
