Ecopetrol Secures 25% Stake in Brava Energia via Brazilian Auction

Ecopetrol’s Brazilian subsidiary has successfully completed a voluntary tender offer for 116.1 million shares of Brava Energia S.A. The deal, finalized on the B3 exchange in Brazil, secures a 25% stake in the company at a price of R$23.00 per share, marking a major step toward establishing a controlling interest.

This acquisition is a core component of a broader transaction announced in April 2026, aimed at capturing a 51% voting stake in the Brazilian firm. Ecopetrol expects to settle the purchase on August 17, concurrently finalizing a separate agreement with shareholders holding an additional 26% of Brava’s capital. The company intends to leverage a short-term credit facility through its Swiss subsidiary, Ecopetrol Capital AG, to fund the initial outlay. Long-term plans include refinancing this debt through a mix of equity and debt instruments to ensure the move remains aligned with Ecopetrol’s existing leverage targets and credit ratings.
