The legal action, filed in the U.S. District Court for the Southern District of New York, centers on allegations that Rackspace failed to disclose critical risks during the class period. Plaintiffs contend the company concealed that its pivot toward enterprise AI required diverting capital and capacity away from its higher-margin Private Cloud segment. According to the complaint, shareholders were also left in the dark regarding declining Public Cloud revenues as customers increasingly bypassed intermediaries for direct deals with hyperscale platforms.
Rackspace Investors Face September Deadline in Securities Class Action
Investors who purchased Rackspace Technology shares between May 7 and July 8, 2026, are being alerted to a pending class action lawsuit. The litigation follows a sharp 33.6% stock decline in July after the company slashed its full-year revenue outlook by $150 million, citing significant shifts in its enterprise AI strategy.

On July 9, 2026, Rackspace shares dropped $2.21 to close at $4.37, down from a June high of $7.53. The firm Levi & Korsinsky, LLP, which is representing the class, notes that investors have until September 28, 2026, to apply for lead plaintiff status. This appointment allows eligible investors with significant losses to oversee the litigation process, though absent class members remain eligible for potential recovery without active participation in the court proceedings.
