Investors who purchased Black Rock Coffee Bar, Inc. securities between September 12, 2025, and May 12, 2026, have until August 17 to apply for lead plaintiff status. The class action follows a 30.3% single-day stock collapse triggered by admissions that the company’s expansion strategy was cannibalizing existing store revenue.

The litigation centers on claims that Black Rock Coffee misled shareholders regarding its growth model. During its September 2025 public offering, which raised approximately $306.5 million, the company asserted that its strategy of increasing store density would result in minimal sales transfer between locations. This narrative persisted through quarterly earnings calls, with management repeatedly touting consistent same-store sales growth while failing to disclose that new openings were actively shifting traffic away from established sites.

The discrepancy surfaced on May 12, 2026, when the company reported Q1 2026 same-store sales growth of 5.2%—a sharp decline from the 9.2% rate reported a year prior. Management finally acknowledged that the density strategy was rebalancing demand, creating a measurable headwind for older locations. Following this disclosure, BRCB shares dropped $3.32 to close at $7.65 on May 13.

Joseph E. Levi of Levi & Korsinsky, LLP, which is spearheading the action, noted that the chronology raises significant questions regarding when the internal impact of store cannibalization became clear to executives versus when that information reached the public. The case is currently filed in the United States District Court for the Southern District of New York.
