Following the effective date of July 29, 2026, Criteo has terminated its American Depositary Share program, transitioning to direct trading of ordinary shares on the Nasdaq under the ticker symbol CRTO. This shift is intended to streamline the company's capital structure and remove the complexities associated with its previous depositary arrangements.
The Board of Directors views this international migration as a catalyst for long-term shareholder value. By moving toward a U.S. domicile, Criteo aims to qualify for inclusion in major domestic indices, broaden its investor base, and gain greater flexibility in managing share repurchases. Chairman Frederik Van der Kooi noted that the move is designed to enhance corporate flexibility as the company integrates further into American capital markets.
