Management allegedly disregarded these warning signs, maintaining an optimistic financial outlook despite the underlying friction.

The discrepancy between company guidance and reality surfaced on May 28, 2026, when Photronics disclosed an 11% decline in IC revenues and compressed operating margins. The subsequent market reaction wiped out over $1.1 billion in market capitalization. Reed Kathrein, the Hagens Berman partner leading the investigation, is now focusing on the specific timeline of when executives became aware of the deteriorating demand.
